FRAMELATHE END USER LICENCE AGREEMENT

This End User Licence Agreement ("Agreement") is a legal agreement between
you (an individual or a single legal entity, "you") and FrameLathe (the
"Licensor") for the FrameLathe desktop software, including the video
enhancement engine that runs beside it, any updates the Licensor makes
available to you, and the accompanying documentation (together, the
"Software").
By installing, copying or using the Software you agree to be bound by this
Agreement. If you do not agree, do not install or use the Software.
1. LICENCE GRANT
Subject to this Agreement, the Licensor grants you a personal, non-exclusive,
non-transferable, revocable licence to install and use the Software on
computers that you own or control. One licence covers one person. You may
install the Software on more than one of your own computers provided that it
is used by you alone, and you may move it between your computers at any time.
You may use the Software for any lawful purpose, including commercial work.
Video, images and other files you produce with the Software ("Output") are
yours. The Licensor claims no rights in your Output, and no notice or credit
to the Licensor is required on it.
2. RESTRICTIONS
You may not:
(a) copy the Software except as needed to install and use it as permitted
above, and for backup;
(b) sell, rent, lease, lend, sublicense, distribute or otherwise transfer
the Software or any licence key to anyone else;
(c) modify, adapt, translate or create derivative works of the Software;
(d) reverse engineer, decompile or disassemble the Software, except to the
extent that applicable law expressly permits this despite this
restriction;
(e) remove or alter any copyright, trademark or other proprietary notice in
the Software;
(f) share, publish or generate licence keys, or circumvent any mechanism by
which the Software checks a licence key;
(g) use the Software to break the law or to infringe anyone's rights.
Nothing in this Section restricts any right you have under the licence of a
third-party component (Section 4).
3. LICENCE KEYS AND UPDATES
The Licensor may issue you a licence key. The key records the date your
entitlement to updates ends. The Software renders video with or without a key;
the key never gates the features you paid for. A key entitles you to install
updates published up to the entitlement date shown when you activate it, and
to keep using those versions afterwards. Updates published after that date
require a renewed entitlement.
The Software checks for updates over the internet and can download them at
your request. The Licensor may stop offering updates for a licence key. A
copy that already has the Software installed keeps rendering everything it
could. The Licensor is not obliged to provide updates, and may change or
discontinue features in an update.
4. THIRD-PARTY COMPONENTS
The Software includes third-party software distributed under its own licence
terms, including software under the GNU General Public License, the GNU Lesser
General Public License, the Apache License, the Mozilla Public License, the
MIT licence, BSD licences and the SIL Open Font License. Those components are
licensed to you under their own terms and not under this Agreement. The
inventory is in THIRD_PARTY_LICENSES.md, the attribution list is in
THIRD_PARTY_NOTICES.txt, and the licence texts are in the "licenses" folder,
all installed beside the Software and reachable from Settings > Legal.
For components under the GNU General Public License and the GNU Lesser
General Public License, the Licensor offers their corresponding source code as
described in SOURCE_OFFER.txt. Where this Agreement and a third-party licence
conflict with respect to that component, the third-party licence governs.
5. MODEL WEIGHTS AND OTHER DOWNLOADED CONTENT
Some features use machine-learning model weights that the Software downloads
from third-party servers to your computer at your request. The Licensor does
not distribute those weights and does not license them to you; each is
governed by the terms of its own publisher, which the Software records and,
where it knows them, shows you before download. Some model weights are
published under terms that forbid commercial use.
Where the Software lets you choose a model yourself, including any model you
import from a file or select from a public model index, you are responsible
for confirming that its licence permits your intended use. The Licensor makes
no representation about the licence terms of any model you choose.
The Software includes an optional filter, on by default, that refuses Hub
and imported weights whose recorded licence string looks non-commercial,
restricted, or missing. Turning that filter on or off is not a representation
that any remaining weight is licensed for your use.
The optional GPU add-on pack contains NVIDIA software: the CUDA and cuDNN
runtime libraries that come with PyTorch, and NVIDIA TensorRT for RTX
(together, the "NVIDIA Components"). The pack is installed only when you ask
for it. When you do, the Software downloads those components as Python wheels
from PyPI and the PyTorch index, not from the Licensor. You must accept a
separate in-app prompt before that download begins.
The NVIDIA Components are licensed to you only as part of the Software and
only for use with it. In addition to Section 2, you may not:
(a) use the NVIDIA Components other than through the Software, or
distribute, sublicense or otherwise make them available to anyone,
whether on their own or as part of any other product;
(b) reverse engineer, decompile or disassemble the NVIDIA Components, or
modify them or create derivative works of them, except to the extent
that applicable law expressly permits this despite this restriction;
(c) remove, alter or obscure any NVIDIA notice in or on them;
(d) use the NVIDIA Components on any system that does not have an NVIDIA
GPU; or
(e) publish, disclose or distribute benchmark or performance results of the
NVIDIA Components, or of NVIDIA GPUs in connection with the Software,
without NVIDIA's prior written permission.
NVIDIA Corporation and its licensors own the NVIDIA Components. To the maximum
extent permitted by law, the NVIDIA Components are provided "AS IS", NVIDIA
and its licensors give no warranty of any kind for them, and NVIDIA and its
licensors have no liability to you in connection with them.
NVIDIA Corporation is an intended third-party beneficiary of this Section 5
as it relates to the NVIDIA Components, and may enforce those terms directly
against you.
6. OWNERSHIP
The Software is licensed, not sold. The Licensor and its licensors retain all
right, title and interest in the Software, including all intellectual property
rights. All rights not expressly granted in this Agreement are reserved.
7. PRIVACY AND NETWORK ACCESS
The Software runs on your computer and processes your video locally. It
connects to the internet only to check for and download updates, to activate
or release a licence key when you ask it to, to download NVIDIA and PyTorch
wheels for the GPU add-on pack when you request it, to download model weights
you request, and to load the public model index when you open the Model Hub.
It sends no usage analytics, no crash reports and no information about your
files to the Licensor.
Activation happens when you paste a licence key, not at launch and not when
the Software renders video. What is sent is the key and a fingerprint derived
from this computer at that moment. The fingerprint is not stored as hardware
inventory. The Software does not send it at launch or at render. Checking for
updates may ask whether that key is still offered updates; that check does
not send the fingerprint, and it does not run if you have turned the update
check off.
8. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR
UNINTERRUPTED, OR THAT ANY OUTPUT WILL MEET YOUR REQUIREMENTS. YOU ARE
RESPONSIBLE FOR KEEPING COPIES OF YOUR SOURCE FILES.
Some jurisdictions do not allow the exclusion of implied warranties, so some
of the above may not apply to you. In that case any implied warranty is
limited to the minimum period and scope the law allows.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR
ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR
ANY LOSS OF DATA, PROFITS, REVENUE OR BUSINESS, ARISING OUT OF OR IN
CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY
THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE
LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT
YOU PAID FOR THE SOFTWARE.
Nothing in this Agreement excludes or limits liability that cannot be excluded
or limited under applicable law, including liability for death or personal
injury caused by negligence, or for fraud.
10. CONSUMER RIGHTS
If you are a consumer, you may have statutory rights under the laws of the
country in which you live that this Agreement cannot override. Nothing in
this Agreement affects those rights. Refunds for purchases made through a
payment provider are handled under that provider's refund policy.
11. TERM AND TERMINATION
This Agreement is effective until terminated. It terminates automatically if
you breach any of its terms. On termination you must stop using the Software
and delete all copies. Sections 4 through 10 and 12 survive termination. Your
rights in your Output are unaffected by termination.
12. GENERAL
This Agreement is the entire agreement between you and the Licensor about the
Software and replaces any earlier agreement or understanding. If any provision
is held unenforceable, the rest remains in effect. The Licensor's failure to
enforce a provision is not a waiver of it. You may not assign this Agreement
without the Licensor's written consent. The Licensor may assign it to a
successor to the Software.
The Software, including the NVIDIA Components described in Section 5, may be
subject to United States export control and economic sanctions laws,
including the Export Administration Regulations and the regulations
administered by the Office of Foreign Assets Control, and to the export laws
of other countries. You agree to comply with all such laws that apply to you,
including when the Software downloads the NVIDIA Components to your computer.
You confirm that you are not located in, or ordinarily resident in, a country
or region subject to a comprehensive United States embargo, and that you are
not a person with whom United States persons are prohibited from dealing. You
will not export, re-export or transfer the Software in violation of those
laws.
This Agreement is governed by the laws of the jurisdiction in which the
Licensor is established, without regard to its conflict-of-laws rules, except
that the mandatory consumer-protection law of the country in which you live
continues to apply where it cannot be excluded.
